By accessing or using Scandey's restaurant management platform ("Service"), you ("User", "Customer", "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Service.
Scandey reserves the right to modify these Terms at any time without prior notice. Your continued use of the Service after any changes constitutes acceptance of the modified Terms.
Scandey provides a cloud-based restaurant management platform including but not limited to: QR code menu generation, order management, staff management, branch management, analytics, and payment processing integration.
Scandey reserves the right to modify, suspend, or discontinue any part of the Service at any time without liability to you. We do not guarantee that the Service will be available at all times or that it will be error-free.
3.1. You must provide accurate, complete, and current information during registration. You are solely responsible for maintaining the confidentiality of your account credentials.
3.2. You are fully responsible for all activities that occur under your account, whether authorized by you or not.
3.3. You must immediately notify Scandey of any unauthorized access or security breach.
3.4. Scandey reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activities.
4.1. Subscription Tiers: Scandey offers Starter, Premium, and Enterprise subscription plans with varying features and usage limits.
4.2. Payment: All fees are payable in Nigerian Naira (₦) and must be paid in advance. Payment is processed through Paystack, our third-party payment provider.
4.3. Non-Refundable: All subscription fees are non-refundable. No refunds will be issued for partial months, downgrades, or unused services.
4.4. Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled by you before the renewal date.
4.5. Price Changes: Scandey reserves the right to change subscription prices at any time. Price changes will take effect at the start of your next billing cycle.
4.6. Failed Payments: If payment fails, your account may be suspended or downgraded. You remain liable for all outstanding fees.
4.7. Taxes: All fees are exclusive of taxes. You are responsible for paying all applicable taxes associated with your use of the Service.
5.1. Your subscription plan includes specific limits on QR codes, staff accounts, branches, and monthly orders. Exceeding these limits may result in service suspension or additional fees.

6.1. All rights, title, and interest in the Service, including all software, designs, trademarks, logos, and content, are owned exclusively by Scandey.
6.2. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your internal business operations.
6.3. You retain ownership of your content (menu items, images, business data), but grant Scandey a worldwide, royalty-free license to use, store, and display this content as necessary to provide the Service.
6.4. You may not use Scandey's trademarks, logos, or branding without prior written consent.
7.1. Scandey collects and processes data in accordance with our Privacy Policy. By using the Service, you consent to such collection and processing.
7.2. You are responsible for ensuring that any customer data you collect complies with applicable data protection laws.
7.3. Scandey implements reasonable security measures but cannot guarantee absolute security. You use the Service at your own risk.
7.4. Scandey may access your account data to provide support, prevent fraud, or comply with legal obligations.
8.1. Uptime: While we strive for 99.9% uptime, Scandey does not guarantee uninterrupted access to the Service. We are not liable for any downtime.
8.2. Maintenance: Scandey may perform scheduled or emergency maintenance that temporarily disrupts the Service. We will attempt to provide advance notice when possible.
8.3. Support: Support is provided via email. Response times vary by subscription plan. Enterprise customers receive priority support.
8.4. Third-Party Services: The Service integrates with third-party providers (Paystack, Cloudinary, etc.). We are not responsible for third-party service failures or changes.
9.1. By Scandey: We may suspend or terminate your account immediately without notice if you:

9.3. Effect of Termination: Upon termination, your access to the Service will cease immediately. You will lose access to all data, and Scandey has no obligation to retain or return your data.
9.4. Survival: Sections regarding payment obligations, intellectual property, limitation of liability, and indemnification survive termination.
10.1. AS-IS Basis: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10.2. No Guarantee: Scandey does not guarantee that the Service will meet your requirements, be error-free, secure, or uninterrupted.
10.3. Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCANDEY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
10.4. Maximum Liability: Scandey's total liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid to Scandey in the 12 months preceding the claim.
10.5. Business Losses: Scandey is not liable for any business losses, including lost revenue, lost orders, or damage to business reputation resulting from use or inability to use the Service.
You agree to indemnify, defend, and hold harmless Scandey, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
Scandey shall not be liable for any failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to: acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, fuel, energy, labor, or materials.
13.1. These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
13.2. Any dispute arising from these Terms shall be resolved exclusively in the courts of Lagos State, Nigeria.
13.3. You waive any objection to venue or jurisdiction in Lagos State courts.
14.1. Entire Agreement: These Terms constitute the entire agreement between you and Scandey regarding the Service.
14.2. Severability: If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
14.3. Waiver: Scandey's failure to enforce any right or provision does not constitute a waiver of such right or provision.
14.4. Assignment: You may not assign these Terms without Scandey's prior written consent. Scandey may assign these Terms without restriction.
14.5. No Agency: Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship.
